This agreement is between you, the subscriber to the AWSI Products and Services, and AWSI, the service provider. AWSI provides Cloud Based products, services and environments to individual, academic and business users. AWSI reserves the right to refuse service to, suspend or cancel any client's access to any portion or all servers or AWSI services when AWSI deems that the account has been used inappropriately.
Licensor retains title to and ownership of the Software and all enhancements, modifications and updates of the Software.
Licensee will make no efforts to reverse engineer the Software, or make any modifications or enhancements without Licensor's express written consent.
THE SOFTWARE IS PROVIDED "AS IS." LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, ALL EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSOR ADDITIONALLY DISCLAIMS ALL OBLIGATIONS AND LIABILITIES FOR DAMAGES, INCLUDING BUT NOT LIMITED TO, SPECIAL, INDIRECT AND CONSEQUENTIAL DAMAGES, ATTORNEY FEES AND COURT COSTS ARISING FROM OR IN CONNECTION WITH THE USE OF THE SOFTWARE LICENSED UNDER THIS AGREEMENT.
SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
Licensor's entire liability and Licensor's sole and exclusive remedy for breach of the foregoing warranty shall be, at Licensor's option, to either:
Licensee will treat the Software as trade secrets and proprietary know-how belonging to Licensor that is being made available to Licensee in confidence. Licensee agrees to treat the Software with at least the same care as it treats its own confidential or proprietary information.
Licensor will keep all data confidential and depose of all paper and electronic data at the conclusion of the installation and data import.
AWSI will host subscriber domains for business & academic hosting accounts with at least 10 users, have specific security requirements and/or mail service hosting with AWSI. It is strongly recommended that you make AWSI the Technical Contact for your domain during its residence within the AWSI environment.
Due to the security nature of the AWSI Cloud, no AWSI personnel has singular access to your data storage or content locations. Therefore, the client is ultimately responsible for keeping their most current files or emails backed up (successively or versioning). AWSI provides fault tolerance, high availability and catastrophic recovery of the datacenter network and its infrastructure; including last known good configuration for all datacenter customers. AWSI is in no way responsible for any lost, corrupt, damaged, or mismanagement of information or data by the customer or its users. AWSI, in no way represents that it will have or make available a customer's most recent data for any use whatsoever; this is the responsibility of each customer and their users individually.
Should any data need to be recovered from AWSI's storage locations and you are unable to access the information, there will be a nominal charge. AWSI does not guarantee to possess the most current copy of a client's files or emails.
AWSI performs backup "snapshot" operations through replication on a continual basis between SANs. This is the industry standard method of backing up hosted services data. This minimizes the customer impact in the event AWSI suffers a catastrophic system failure or other event that requires the recovery of an entire SAN store. If a customer needs a specific backup file, due to no fault of AWSI, we may charge a service fee for this recovery service. Due to the nature of this backup technology, our engineers are not typically able to restore data from an individual storage location within a database. Customers, who need the ability to restore individual user data from a database, should consider deploying their own file level backup service (on the AWSI network as permitted or on the customers own infrastructure).
All services are billed on a monthly basis and are prepaid.
AWSI accepts the following payment methods: Company or Personal Check via E-Check ACH, Visa, MasterCard, Discover and American Express.
(Credit card users should be aware that their payment will appear as "AWSI" on their credit card statement. By making the first payment for any subscription services, the customer is authorizing "Recurring Billing" for continued billing of services until the customer cancels those services, in accordance with the cancelation procedure outlined in this policy statement. IF authorization is withheld, in writing and approved by AWSI their will be a deposit of one month held for a period of 12 month for each user account)
Late Payments: If you are late in paying more than one payment and pay less than all amounts due at the time a payment is received by AWSI, amounts received shall be applied first to the oldest amounts due and then to the next oldest, and so on.
Additional Services: Additional services can be added at any time. When a service is added, the client is assessed charges for the current date of purchase and every upcoming month until the service is canceled or not renewed.
Renewal and Billing Schedule: All accounts will be automatically billed on a monthly basis in advance of services, as early as 5 business days prior to the renewal date.
Credit Card Failures: In the event of any credit card failure, a notice will be sent to the billing contact via email. If the credit card continues to fail and alternate payment is not obtained within 5 days, the account will be suspended.
Account Reactivation: If an account was cancelled due to client request or billing issues and the client desires to reactivate the account, a non-refundable reactivation fee of $29 will be required prior to account reactivation for each user or service and $200 for each server. Accounts are reactivated after all outstanding charges are paid, including outstanding hosting charges, if applicable. If an account was cancelled due to policy violation, AWSI will not reactivate the account.
Foreign Countries: AWSI welcomes orders from any country. All payments are in US Dollars. All products and services are in English (US). All support operations are according to (+5:00 Eastern Standard Time). Any ordered products or services cannot be started until full payment has been received and cleared by AWSI's bank.
Once a product is purchased the customer will receive an E-mail from AWSI within 24 hours, confirming their purchase. In the following 5 business days, the customer will receive a secondary E-mail containing user credentials and an attachment containing the appropriate connection per the customer's order. All AWSI products and services are delivered via E-mail.
If you would like to cancel your account for any reason, you must send an email to Customer Service ( firstname.lastname@example.org ) 30 days prior to your renewal date.

AWSI has the right to terminate or refuse service to anyone and reserves the right to immediately discontinue service to anyone violating its policies. If an account is terminated for a policy violation there will be no refund. The Acceptable Use Policy violators may be assessed a five hundred dollar clean up fee. AWSI reserves the right to delete the policy violating content without notice.
Personal Information Collected and How It Is Used
Personally identifiable information is information that allows you to be identified or contacted individually. Personally identifiable information may be collected when you complete any online form, application, survey or request for information. Therefore, if you do not wish for us to obtain your personally identifiable information, please do not submit it to us. However, if you choose not to provide us with certain personal information, we may not be able to provide you with the services that you requested.
Non-Personally Identifiable Information
When you visit our Website, like when you visit most other websites, certain information is automatically logged about your visit. This information may include your IP address, which is the number assigned to your computer whenever it is connected to the Internet, your operating system, screen settings, Web browser software, and referring website. It is used for system improvement and administration, security, statistical analysis purposes, and other internal business purposes.
We may also anonymize your personally identifiable information by cleansing it of any information which might allow you to be identified or contacted, and combine this non-personally identifiable information with that of other visitors to the site. Each Franchise is owned and operated independently from AWSI and is solely responsible for its own acts and omissions. For example, in the case of franchise applications, the information may be shared with our area franchisees who render sales support and other assistance to us. We may also share information relating to your customer service query with Affiliates, Franchisees and other third parties in order to address the query properly.
Compliance with Law and Legal Requests
We may provide your personally identifiable information to government agencies as required by law or regulation. In addition, we may release your personally identifiable information in the unlikely event we deem release necessary to comply with the law, or to legally protect us, our Affiliates, customers or franchisees.
Non-Personally Identifiable Information
We may share non-personally identifiable information, including anonymized data derived from personally identifiable information collected from this Website with third parties or our Affiliates.
In the event that all or a portion of AWSI, or substantially all the assets of AWSI, is sold to another business entity, personally identifiable information collected from the website will likely be among the assets transferred to such business entity.
